Buying a Pharmacy? Why Due Diligence Should Go Beyond the Financial Statements

The best pharmacy purchases are built on understanding the whole business, not just the numbers.

When you're buying a pharmacy, it's natural to focus on the financial performance. Turnover, profitability, prescription volume and EBITDA are all important measures, and they will play a significant role in both the valuation and your funding application.

However, the numbers only tell part of the story.

At FTA Finance, we've worked with pharmacy buyers across the UK and one thing has become clear. The most successful acquisitions are made by buyers who look beyond the accounts and take the time to understand how the business actually operates.

Buying a pharmacy isn't simply about purchasing a profitable business today. It's about understanding whether that business will continue to perform well once you become the owner.

One of the first areas to consider is the quality of the income. While dispensing volumes remain important, buyers should also look at how the pharmacy generates its revenue. Is the business overly reliant on one income stream, or does it benefit from a healthy mix of NHS services, private ‘enhanced’ services, over-the-counter sales and additional clinical offerings?

A more diversified business is often better placed to adapt as the healthcare landscape continues to evolve.

It's equally important to understand the local market.

A pharmacy may have traded successfully for many years, but what does the future look like? Are there new housing developments planned nearby? Is the local population growing or declining? Are there changes to local GP surgeries or residential care homes that could influence future prescription volumes?

Understanding the environment surrounding the business can be just as valuable as understanding the business itself.

The people within the pharmacy also deserve careful consideration.

A loyal, experienced team can be one of the greatest assets you acquire. Equally, a business that relies heavily on one individual or has ongoing recruitment challenges may require additional investment and management after completion.

Thinking about how the business operates day to day will help you identify both opportunities and potential risks before you commit.

Technology and operational systems are another area that buyers sometimes overlook.

Well-maintained systems, efficient workflows and modern dispensing technology can improve productivity, reduce errors and create a better experience for both patients and staff. If significant investment will be needed after purchase, this should be factored into both your financial planning and your funding requirements.

Perhaps most importantly, buyers should consider where future growth will come from.

Is there potential to expand enhanced clinical services? Could retail space be better utilised? Are there opportunities to improve operational efficiency or strengthen local community engagement?

Lenders are increasingly interested in businesses that demonstrate not only stable historic performance, but also realistic opportunities for future development.

At FTA Finance, we encourage buyers to think beyond completing the purchase. The strongest acquisitions are those where the funding structure, the business opportunity and the buyer's long-term ambitions all work together.

Our role is to help you assess affordability, structure the right funding package and ensure you have the financial flexibility to grow the business after completion, not simply acquire it.

Buying a pharmacy is one of the biggest investments you'll make in your professional career. Taking the time to understand every aspect of the business before you commit will help you make better decisions, negotiate with greater confidence and build stronger foundations for long-term success.

Because the best pharmacy purchases aren't simply the ones that look good on paper.

They're the ones that continue to perform long after the purchase has been completed.
